Experience
- Representing a syndicate of lenders in connection with project financing (including implementation of sponsor support mechanism under Russian law) for the development of a large copper deposit and the construction of a mining and processing plant in the Khabarovsk Region, implemented by a Russian metallurgical company;
- Advising VEB.RF and VTB Bank on an up to RUB32 billion project financing of the construction of a specialised coal seaport “Sukhodol” (with capacity of 12 million tonnes per year) at the Russian Far East. The construction is initiated by SDS-Ugol in partnership with Russian Railways (financing is provided under the “Project Finance Factory” programme);
- Advising Gazprombank as arranger of a syndicated loan facility to Port Vera, an operator of a maritime coal terminal in the Russian Far East (including, on the “take or pay” transhipment agreement);
- Representing a syndicate of five major Russian banks on the restructuring of indebtedness of a large Russian mining group of companies by way of amending and restating nine bilateral facility agreements into a single syndicated facility agreement. At the same time the parties signed an intercreditor agreement and about 50 security documents;
- Representing Alfa-Bank on provision of the venture loan in the amount of RUB3.7 billion to IVI, the leader on the Russian market of online video services;
- Representing Raven Russia and companies managed by Raven Russia group on a number of facility agreements with major Russian banks (such as Sberbank of Russia, VTB Bank, Otkritie, Raiffeisenbank and others);
- Advising Sberbank of Russia on a RUB 5 bln syndicated facility to JSC “LC “Europlan”. The facility agreement includes accordion provisions for an up to RUB 15 bln financing. This is one of the first finance transactions based on the Syndicated Facility Law;
- Advising Sberbank of Russia on secured financing of over EUR900 million acquisition of a number of shopping malls in Moscow and St. Petersburg from Immofinanz (Austria) by FORTGROUP and refinancing of the existing loan facilities provided to various property companies by Nordea Bank, Raiffeisenbank and Sberbank of Russia;
- Advising Silk Road Fund on the acquisition of a 9.9% stake in Yamal LNG from Novatek and the provision of a EUR-equivalent USD 800 million loan to a Novatek group company, which was subsequently incorporated into the project financing (with a total value of USD 20 billion), with SRF acting as a senior lender.;
- Representing Gazprom, Wintershall and E.ON as project sponsors and the project company Severneftegazprom as borrower on the €1 billion project financing to develop Yuzhno-Russkoye gas field in Western Siberia, Russia, including English and Russian law solutions. The deal became the winner of the European Gas Deal of the Year 2011 by PFI magazine and the winner of the European Upstream Deal of the Year 2011 by Project Finance Magazine.
